Call to Order

Chair Heebner called the meeting to order at 10:33 a.m.

Chief Executive Officer Mario Orso presented an update on agency activities.

Approved the minutes from its September 26, 2025, meeting.

Policy Advisory Committee Actions

Ratified the actions taken by the Policy Advisory Committees as noted in the report.

Meetings and Events Attended on Behalf of SANDAG

This report provided an update on meetings and events attended by members of the SANDAG Board of Directors. This item was provided for information. 

3.4

Approval of Proposed Contract Award for Freeway Service Patrol Project

Authorized the Chief Executive Officer to award the proposed contracts.

3.5

Audit Committee Public Member Selection Supplemental Process

Approved the Audit Committee Public Member Supplemental Process, as amended to state that the application period should be open for three weeks, or until a sufficient number of candidate applications have been received.

Summary of the Performance Audit of SANDAG's Contract and Project Management over HNTB

Performance Audit of SANDAG's Contract and Project Management over HNTB

Independent Performance Auditor Courtney Ruby and Deputy Independent Performance Auditor Michelle Ludwick presented a summary of audit results. This item was presented for discussion. 

4.2

Management's Response and Corrective Action Plan

Director of Internal Controls Shawneé Pickney-Forrest presented the Management Response to the Performance Audit of SANDAG's Contract and Project Management over HNTB and proposed corrective action plan. This item was presented for discussion.

Project Funding Overview, Strategy and Considerations

This item was postponed to a future meeting.

The next Board of Directors meeting is scheduled for Friday, October 24, 2025, at 9 a.m.
